Terms of Service
These Terms of Service ("Terms") govern your access to and use of Civic Desk, a multi-tenant SaaS platform for municipal permitting and licensing operated by Compubility, LLC ("Compubility," "we," "us," or "our"). By accessing or using Civic Desk, you agree to be bound by these Terms. If you do not agree, you may not use the platform.
Eligibility and authorization
Civic Desk is designed for use by municipal government agencies and their authorized personnel, as well as residents and businesses submitting permit and license applications:
- Municipal staff accounts: access is granted by an authorized administrator within your municipality. You must use Civic Desk only within the scope of your assigned role and permissions
- Resident and business applicants: you may use the public-facing application portal to submit permit and license applications as directed by your municipality
- You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account or submit an application. Applications involving minors must be submitted by a parent or legal guardian
Accounts and authentication
Civic Desk uses secure authentication methods to protect your account:
- You may sign in using Google OAuth, email-based magic link authentication, or your municipality's Single Sign-On (SSO) provider if configured
- You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account
- You must notify your municipality's administrator immediately if you believe your account has been compromised
- Compubility reserves the right to suspend or terminate accounts that show signs of unauthorized access or misuse
Acceptable use
You agree to use Civic Desk only for its intended purpose — submitting, reviewing, and managing municipal permit and license applications:
- Submit accurate and truthful information in all applications and forms
- Use the platform in compliance with all applicable federal, state, and local laws and regulations
- Respect the confidentiality of information you access through your role — do not share login credentials, applicant information, or internal records outside of authorized channels
- Report any security vulnerabilities, bugs, or unauthorized access to your administrator or to security@compubility.com
Prohibited conduct
You may not use Civic Desk to:
- Submit fraudulent, misleading, or intentionally incomplete applications
- Attempt to access data belonging to other municipalities or applicants (cross-tenant access)
- Reverse-engineer, decompile, or attempt to extract the source code of the platform
- Use automated tools (bots, scrapers, crawlers) to access or interact with the platform without prior written authorization
- Introduce malware, viruses, or any other harmful code
- Interfere with or disrupt the platform's infrastructure, availability, or performance
- Use the platform for any purpose unrelated to municipal permitting and licensing
Municipal data ownership
Municipalities retain full ownership of their data within Civic Desk:
- All application data, form configurations, uploaded documents, and audit logs belong to the subscribing municipality
- Compubility acts as a data processor on behalf of the municipality. We do not claim ownership of any municipal or applicant data
- Municipalities may request a full export of their data in standard formats at any time during their subscription
- Upon termination of a subscription, municipalities may request data export within 90 days. After this period, data will be securely deleted
- We will not access municipal data except as necessary to operate the platform, provide support, or comply with legal obligations
Intellectual property
The Civic Desk platform is the intellectual property of Compubility, LLC:
- The platform software, design, documentation, and branding are owned by Compubility and protected by applicable intellectual property laws
- Your subscription grants you a limited, non-exclusive, non-transferable license to use the platform for its intended purpose during your subscription term
- You may not copy, modify, distribute, or create derivative works based on the platform without prior written consent
- Municipal data, form configurations, and uploaded content remain the property of the municipality as described above
Service availability and support
We strive to maintain high availability for Civic Desk, but cannot guarantee uninterrupted access:
- We target high availability for the platform and will communicate scheduled maintenance windows in advance when possible
- Unplanned outages may occur due to infrastructure issues, security incidents, or other factors outside our control
- Support response times and service level commitments are defined in your municipality's subscription agreement
- We reserve the right to modify, update, or discontinue features of the platform with reasonable notice to affected municipalities
Limitation of liability
To the maximum extent permitted by applicable law:
- Civic Desk is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement
- Compubility shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the platform
- Our total liability for any claim arising from these Terms or your use of Civic Desk shall not exceed the fees paid by your municipality in the twelve (12) months preceding the claim
- These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise)
Indemnification
You agree to indemnify and hold harmless Compubility, LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your misuse of the platform, or your violation of any applicable law or the rights of any third party.
Termination
Either party may terminate access to Civic Desk as follows:
- Municipalities may terminate their subscription at any time by providing written notice. Access will continue through the end of the current subscription period
- Compubility may suspend or terminate access for violation of these Terms, non-payment, or as required by law — with notice provided as soon as reasonably practicable
- Upon termination, municipalities have 90 days to request data export. After this period, all data will be securely deleted in accordance with our data retention practices
- Provisions that by their nature should survive termination (including data ownership, limitation of liability, indemnification, and governing law) will remain in effect
Governing law and dispute resolution
These Terms are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws principles. Any disputes arising from these Terms or your use of Civic Desk shall be resolved in the state or federal courts located in Massachusetts. Both parties consent to the exclusive jurisdiction of these courts.
Changes to these Terms
We may update these Terms to reflect changes in our practices, platform capabilities, or legal requirements. When we make material changes, we will update the "Last updated" date at the bottom of this page and notify affected municipalities directly. Continued use of Civic Desk after changes are posted constitutes acceptance of the updated Terms. If you do not agree with any changes, you must discontinue use of the platform.
